BY REGISTERING FOR, ACCESSING, OR UTILIZING THE PLATFORM OR SERVICES, YOU EXPRESSLY AGREE TO COMPLY WITH AND BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING ANY SUPPLEMENTAL TERMS AND POLICIES DISPLAYED ON THE PLATFORM OR WITHIN THE SERVICES. YOU ARE NOT PERMITTED TO ACCESS OR USE THE PLATFORM OR SERVICES OR AGREE TO THESE TERMS AND CONDITIONS IF YOU ARE UNDER 18 YEARS OF AGE. IF YOU DO NOT AGREE WITH ANY PORTION OF THESE TERMS AND CONDITIONS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE PLATFORM AND SERVICES. BY CONTINUING TO ACCESS OR USE THE PLATFORM AND SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THESE TERMS AND CONDITIONS, INCLUDING OUR PRIVACY POLICY (COLLECTIVELY REFERRED TO AS "THE TERMS"). YOUR USE OF THE PLATFORM AND SERVICES CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU AND GEVITI TO ADHERE TO THESE TERMS.

1. Introduction and Agreement to Terms
These Terms and Conditions govern your access to and use of the Geviti digital platform available through GoGeviti.com, including any associated subdomains, mobile applications, and other digital interfaces collectively referred to as the "Platform." The Platform is owned and operated by Geviti, Inc. ("Geviti," "we," "us," "our"). By accessing, browsing, or otherwise using the Platform, including all content, services, and digital tools provided therein (collectively the "Content"), you expressly acknowledge that you have read, understood, and agree to comply with and be bound by these Terms and Conditions.
Geviti provides a subscription-based, non-clinical wellness membership program featuring a comprehensive technology platform that delivers wellness-related resources, educational materials, personalized wellness coaching, and optional discounts on select health-related products and services. All clinical medical services, including telehealth consultations, diagnostics, treatments, and other medical interventions, are provided exclusively by Sanctifi Health PC (the "Provider"), an independently operated physician-owned medical group. Geviti's role is strictly limited to non-clinical administrative and logistical support and does not involve medical practice or clinical decision-making.
By using Geviti's services, you also agree to be bound by our Wellness Services Agreement and Supplemental Liability Waiver, which provide detailed terms specific to health coaching, supplements, and wellness programs with important protections and risk acknowledgments. When accessing medical services through our platform via Sanctifi Health, you separately agree to Sanctifi's Comprehensive Informed Consent and Notice of Privacy Practices and HIPAA Acknowledgment. These agreements work together to govern your complete experience with both wellness and medical services.
These Terms and Conditions, along with any supplemental terms and policies presented on the Platform or within our services, collectively constitute the agreement ("Agreement") between you and Geviti. These Terms and Conditions may be updated periodically, and it is your responsibility to review them regularly to ensure compliance. Continued use of the Platform following any modifications to these Terms and Conditions signifies your acceptance of the updated terms.
2. Definitions
The following terms and phrases, when used in these Terms and Conditions, shall have the following meanings ascribed to them.
"Geviti," "We," "Us," or "Our": Refers explicitly to Geviti, Inc., a duly organized and validly existing corporate entity responsible for operating the digital platform located at GoGeviti.com, including any subdomains, associated applications, mobile platforms, or other digital interfaces owned and/or operated by Geviti, Inc.
"Membership": Means the subscription-based, non-clinical wellness package offered by Geviti to registered Users through the digital platform. Membership is inclusive of wellness resources, digital content, optional access to discounted health-related products and services, personalized wellness coaching, and other non-clinical benefits, as explicitly defined and regularly updated in the Geviti Membership Terms. A Membership does not encompass clinical medical services or clinical healthcare delivery.
"Sanctifi Health PA" or “Sanctifi Health PC" or “Sanctifi" or "Provider" or "Medical Group": Refers exclusively to the physician-owned medical group independently operating under the name Sanctifi Health PA and Sanctifi Health PC, separate from Geviti. Sanctifi is solely responsible for the clinical and medical services, including but not limited to medical consultations, diagnosis, treatment, telehealth services, laboratory test orders and interpretations, stem cell therapies, exosome treatments, and any other medical interventions or advice provided to Users.
"MSO" (GF Management Services, LLC): Indicates the Management Services Organization (MSO), identified specifically as GF Management Services, LLC, an entity that delivers administrative, logistical, technological, scheduling, and non-clinical operational support services to Sanctifi Health PC, Geviti, and related entities. The MSO does not provide medical or clinical services and maintains clear separation from all clinical decision-making and patient care.
"Stem Cell Platform": Refers to the third-party entity (currently Get Cells, Inc.) which partners with platforms and clinical practices to facilitate and coordinate at-home stem cell intravenous (IV) therapies, exosome treatments, and other health and wellness services. The Stem Cell Platform operates independently of Geviti, providing logistical and operational coordination but not clinical services directly.
"User," "You," or "Your": Refers broadly to any individual, group, organization, entity, visitor, subscriber, or registered member accessing, browsing, using, or interacting with the Geviti platform located at GoGeviti.com, including all associated services, applications, and digital interfaces. The User is responsible for reviewing and complying with these Terms and Conditions and all related documentation.
"Pharmacy" or "Pharmacies": Refers specifically to third-party compounding pharmacies, such as Strive Compounding Pharmacy, that independently prepare, compound, dispense, and supply medications as prescribed directly by licensed healthcare providers from Sanctifi Health PC or other licensed medical professionals. Pharmacies operate independently from Geviti, and Geviti does not exercise control or supervision over their clinical pharmaceutical operations or practices.
"Diagnostics" or "Labs": Refers explicitly to clinical laboratory tests, including but not limited to blood tests and other diagnostic testing provided and processed through third-party laboratory entities, such as LabCorp, Quest, and other specialty diagnostic laboratories. These laboratories are independent entities that perform and report clinical diagnostic results directly to Sanctifi or the prescribing healthcare provider. Geviti neither operates nor controls these laboratories and assumes no responsibility for their clinical accuracy or practices.
"Phlebotomists": Refers exclusively to certified third-party professionals, specifically contracted through Get Labs or similar third-party entities, who perform blood draws and specimen collection procedures on behalf of and under the clinical direction of Sanctifi Health PC or licensed healthcare providers. Phlebotomists do not provide medical advice, interpretation of results, or treatment recommendations, and operate independently from Geviti's non-clinical services.
"Platform": Refers collectively to Geviti's web-based service available through GoGeviti.com, including all associated web interfaces and the Geviti mobile application. The Platform includes access to wellness content, membership services, digital tools, and all functionalities and features provided by Geviti.
These definitions form an integral part of the Terms and Conditions and shall apply consistently throughout this document unless explicitly stated otherwise.
3. Overview of Services and Products
3.1 Non-Clinical Membership Offering
Geviti provides a comprehensive, non-clinical wellness membership designed to enhance your overall health and lifestyle. Membership includes access to a technology platform that delivers wellness-related content, educational materials, personalized wellness coaching, digital wellness tracking tools, and optional discounts on select health-related products such as nutritional supplements and wellness-oriented laboratory tests. These wellness services are specifically designed for educational, informational, and general wellness enhancement purposes. They are not intended as a substitute for professional medical advice, diagnosis, or treatment provided by licensed healthcare providers.Geviti Inc. health coaches may conduct bloodwork reviews or speciality testing reviews as part of the wellness coaching services. However, if critical markers are identified during these reviews, bloodwork analysis will be conducted by a licensed Sanctifi clinician rather than a Geviti Inc. health coach to ensure appropriate medical oversight. Geviti Inc. health coaches, whether employed by or contracted with Geviti Inc., operate under Geviti's supervision for non-clinical wellness coaching services only. Reference Section 6.4
3.2 Clinical Services Disclaimer
All clinical or medical services including, but not limited to, telehealth consultations, medical examinations, diagnosis, treatment recommendations, prescription medications, laboratory test orders, stem cell IV therapy, exosome treatments, and any other medically oriented procedures are exclusively provided and overseen by the Provider, an independent, physician-owned medical group. Geviti does not practice medicine, nor does Geviti have any direct or indirect control, influence, or involvement in medical decision-making or clinical judgment rendered by the Provider or its licensed healthcare professionals.
3.3 Relationship with Third Parties
Geviti collaborates with several third-party entities to facilitate comprehensive wellness experiences for its members. Specifically:
- Provider: Geviti provides administrative coordination services connecting members with the Provider for clinical services. The Provider retains exclusive clinical authority and responsibility for all medical consultations and services provided to members.
- GF Management Services, LLC (MSO): Provides administrative, logistical, technical support, scheduling, and operational management to both Geviti and the Provider, but does not offer medical or clinical services.
- Stem Cell Platform: Coordinates the availability and delivery of at-home stem cell IV therapy, exosome therapies, and related wellness services. The Stem Cell Platform operates independently from Geviti, and Geviti assumes no responsibility for clinical oversight or delivery of services provided through this platform.
- Pharmacies: Geviti members may be referred to or receive medications from independent compounding pharmacies such as Strive Compounding Pharmacy. Geviti does not oversee, control, or manage pharmacy operations or clinical pharmacy practices.
- Diagnostics/Labs: Geviti may facilitate member access to laboratory diagnostic tests performed by independent entities such as LabCorp or specialty labs. Geviti does not manage, oversee, or control these laboratory entities and assumes no liability for their operations or accuracy.
- Phlebotomists: Bloodwork or specimen collections may be facilitated by independent, certified third-party providers, including Get Labs. Geviti does not directly oversee, manage, or supervise these phlebotomists. Please review our mobile phlebotomy service providers Telehealth Informed Consent.
Geviti's relationships with these third-party entities are solely administrative and operational; Geviti does not exercise control over their clinical or professional practices. Users must independently evaluate and accept the terms and services provided directly by these third-party entities.
3.4 Subscription Products and Test Kits
Geviti may make available to Members certain products and Services sold or offered by us or by third-party Providers, Pharmacies, or other vendors. These may include:
- Test Kits: Users may purchase test kits from the Platform, for themselves or for others. Users can register Test Kits, whether purchased by or given to them as a gift, through the Platform or Services, and may view and track certain User Data obtained from the registered Test Kits.
- Supplements: Geviti may sell supplements or other non-pharmaceutical products through the Platform. Health coach recommendations for supplements, including those sold by Geviti, are provided for educational and informational purposes only. Users acknowledge that supplement recommendations are not personalized medical advice. All supplement purchases and usage decisions are made independently by users. Users must consult healthcare providers before taking any supplements. Individual results may vary and are not guaranteed
- Prescriptions: Users may receive prescriptions from independent pharmacies facilitated through the Platform, as prescribed by licensed healthcare providers from the Provider
Any recommendations regarding medical information or products, such as supplements or potential treatments options, are provided for informational purposes only. It is important to note that the Services provided by Geviti are not medical advice. Medical advice is only offered by Providers.
Supplement Recommendations Disclaimer: Any supplements recommended by Geviti Inc. health coaches are suggestions only. Geviti does not manufacture, test, or guarantee the safety, efficacy, or quality of recommended supplements. Users acknowledge that supplement recommendations are not prescriptions and must be evaluated by licensed healthcare providers before use.
FDA Disclaimer: Supplements sold through the Platform have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. Supplement recommendations by health coaches are not medical advice and should not replace consultation with qualified healthcare providers.
3.5 Mobile Phlebotomy Services
Geviti collaborates with mobile phlebotomy service providers for at-home blood testing. Geviti is not liable for any issues arising from these services. Users are advised to verify the credentials and standards of these providers and direct any concerns or issues to the respective service provider. 4. Membership Terms & Payment
4.1 Membership Enrollment
To enroll in Geviti's wellness Membership, Users must complete the online registration process accessible via GoGeviti.com. Enrollment requires creating a unique account profile with accurate personal and payment information. By registering and becoming a Member, Users explicitly agree to and accept the Geviti Membership Terms and Conditions, Privacy Policy, and other relevant policies and disclosures provided during the enrollment process.Users must be at least 18 years of age and based in the United States to access Geviti's services. Geviti reserves the right to verify age and geographic location and may terminate access for users who do not meet these requirements.
When you register an account with Geviti, you agree to provide accurate, current, and complete information and to update this information to keep it accurate. You are responsible for all activities that occur under your account. You must safeguard the confidentiality of your account information. Geviti reserves the right to suspend or terminate accounts that are used in a manner that is deceptive, fraudulent, or violates these Terms.
In addition, you agree to provide current, complete and accurate purchase and account information for all purchases. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
4.2 Membership Fees & Billing
Membership is offered at a quarterly rate of $389 per quarter or an annual rate of $1,319.88 per year, charged automatically to the payment method provided during enrollment. Membership fees grant ongoing access to wellness-related services and benefits detailed in the Membership Terms, including product subscriptions and prescription subscriptions as applicable.
- Automatic Renewal: Membership automatically renews quarterly or annually, depending on the selected payment plan, unless canceled by the Member. It is the Member's sole responsibility to manage and update billing information to avoid disruptions in service.
- Cancellation Policy: Members may cancel their Membership at any time through their account settings on the Geviti web platform or mobile application. All cancellations become effective at the end of the current billing cycle. No refunds or credits will be issued for partially used Membership periods.
- Grace Periods & Failed Payments: If payment fails or is declined, Geviti will attempt to notify the Member to resolve the issue within 7 days. During this grace period, access to services may be restricted. If payment is not resolved within this period, Membership may be terminated at Geviti's discretion.
- Subscription Product Changes: Geviti may change the price for your Membership from time to time and will communicate any price changes to you in advance and, if applicable, how to accept those changes. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, you accept the new price by continuing to use the Services after the price change takes effect. If you do not agree with a price change, you have the right to reject the change by unsubscribing from the Membership prior to the price change going into effect.
- Early Charging and Shipping: Your first renewal may be charged early to prevent any discontinuity in treatment. Your subsequent shipments may be charged and shipped up to two (2) days early to accommodate holidays or for other operational reasons to support continuity of treatment.
4.3 Not Insurance
Members expressly acknowledge and agree that Geviti operates as a technology platform that serves as an intermediary between users and various service providers while offering unique non-clinical wellness services. Geviti Membership is not a health insurance plan, nor does it constitute a substitute for health insurance. Membership does not guarantee the provision of any clinical or medical services, nor does it cover costs or fees associated with medical services or treatments provided by the Provider or other third-party healthcare providers. Members should maintain independent health insurance coverage for medical needs beyond wellness benefits provided through the Geviti Membership.
5. Medical Services: Roles & Responsibilities
5.1 The Provider
The Provider is an independently operated, physician-owned medical group responsible solely and exclusively for clinical care, medical diagnosis, treatments, and recommendations provided to Geviti members. Geviti Inc. provides non-clinical wellness coaching and administrative coordination services to facilitate member connections with the Provider. All medical consultations, prescriptions, therapies, treatments (including telehealth consults, lab test orders, stem cell IV therapy, and exosome treatments), and related healthcare services are independently conducted and overseen by licensed healthcare professionals affiliated with the Provider. The Provider holds full responsibility for medical decision-making, clinical judgment, patient management, and regulatory compliance related to all medical and clinical services. Users accessing Sanctifi Health services must separately agree to Sanctifi's Comprehensive Informed Consent and Notice of Privacy Practices and HIPAA Acknowledgment. These agreements are independent of Geviti's terms and govern the medical services relationship directly between you and Sanctifi Health.
5.2 MSO (GF Management Services, LLC)
GF Management Services, LLC (the "MSO") provides non-clinical administrative support services, including but not limited to scheduling, patient logistics coordination, administrative support, data management, billing, and operational assistance to the Provider. The MSO does not provide medical advice, engage in medical decision-making, nor exercise control over clinical procedures or treatment plans. All medical decisions remain strictly within the authority of the Provider and its licensed healthcare professionals.
5.3 Stem Cell Platform
The Stem Cell Platform coordinates at-home wellness therapies including stem cell IV therapy, exosome treatments, and other wellness-related services. The Stem Cell Platform does not directly provide medical or clinical services; it coordinates logistics and facilitates connections between patients and the Provider for clinical delivery of services. All clinical services arranged through the Stem Cell Platform are administered independently by licensed healthcare professionals affiliated exclusively with the Provider. Geviti explicitly disclaims responsibility for medical outcomes, efficacy, safety, regulatory compliance, or clinical aspects related to services coordinated by the Stem Cell Platform.
5.4 No Geviti Control Over Clinical Judgment
Geviti explicitly asserts that it does not exercise, influence, or control any aspect of clinical or medical decision-making, judgments, treatment recommendations, or the administration of clinical services provided to members. All clinical authority and responsibility rest solely with the Provider and its licensed healthcare professionals. Users acknowledge that Geviti's role is strictly limited to non-clinical administrative and logistical coordination.
6. Disclaimer of Medical Advice
6.1 Informational Purposes Only
All content provided by Geviti—including but not limited to wellness articles, lifestyle recommendations, educational materials, digital wellness tools, and personalized wellness coaching—is intended solely for informational, educational, and general wellness purposes. Such content is not and should not be interpreted as individualized medical advice, professional healthcare guidance, medical diagnosis, or clinical treatment recommendations. Geviti does not provide or practice medicine or healthcare services.Geviti's wellness services are not intended to diagnose, treat, or manage complex medical conditions. Our services are designed to help optimize general health and wellness for individuals seeking to enhance their overall well-being through educational resources and lifestyle guidance.
6.2 Consult a Licensed Healthcare Provider
Geviti explicitly encourages and advises Users to seek the advice of qualified healthcare professionals for personalized medical diagnosis, treatment recommendations, or any specific medical concerns. Users must consult licensed healthcare professionals from the Provider or their personal healthcare provider regarding any questions or concerns related to their health, medical condition, or treatment. Users should never disregard, delay, or avoid seeking professional medical advice based on information provided through the Geviti platform. Geviti assumes no liability or responsibility for actions taken by Users based on any wellness-related content or information provided through its services or platform.
6.3 Telehealth Services Consent
You expressly consent to receiving telehealth services via Geviti or the Provider, acknowledging the unique characteristics of these services. You understand the limitations and agree to assume the risks associated with telehealth, including the potential for incomplete medical information and technical difficulties. You understand that Geviti does not make available services for in-person care.
To protect the confidentiality of your health information, you agree to undertake your Telehealth consultation in a private location, and you understand that your Telehealth provider will similarly be in a private location.
In an emergent situation, you understand that the responsibility of your Telehealth provider may be to direct you to emergency medical services, such as an emergency room.
You further understand and agree that it is your sole responsibility to monitor and respond to messages, reports, and emails sent by Providers via the Platform and that neither Geviti nor the Provider will be responsible in any way and you will not hold Geviti or any Provider liable for any loss, injury, or claims of any kind resulting from your failure to read or respond to these messages or for your failure to comply with any treatment recommendations or instructions from the Provider(s).
Telemedicine services may not be available in all states due to licensing restrictions. Users acknowledge that cross-state medical practice regulations may limit service availability.
6.4 Care Plans and Health Coach Recommendations
Any care plans, wellness protocols, or health recommendations provided by Geviti Inc. health coaches are for informational and educational purposes only and must be reviewed and approved by a licensed medical provider before implementation. Users are solely responsible for ensuring that all care plan recommendations are evaluated by their personal healthcare provider or a licensed medical professional from the Provider before following any suggested protocols or making health-related changes.
Any prescription recommendations included in care plans are intended solely as suggestions for users to discuss with their licensed medical provider to determine if such prescriptions are appropriate for their individual health needs and circumstances. Geviti Inc. health coaches do not prescribe medications and cannot determine the medical appropriateness of any prescription drugs. Users acknowledge their responsibility to consult with licensed healthcare professionals regarding all prescription recommendations and to obtain proper medical evaluation before pursuing any suggested medications or treatments.Geviti Inc. health coaches are not qualified to provide urgent medical guidance and are strictly prohibited from offering advice for acute health concerns, emergency situations, or urgent medical conditions. In any urgent or emergency health situation, users must immediately contact emergency services or seek immediate medical attention from qualified healthcare professionals. Geviti Inc. health coaches operate strictly within the scope of wellness coaching and lifestyle guidance. Any recommendations outside this scope are unauthorized and not endorsed by Geviti Inc.
When care plans include supplement recommendations (including supplements available for purchase through Geviti), these recommendations are educational suggestions only. Users acknowledge their responsibility to:
- Consult healthcare providers before taking any recommended supplements
- Independently evaluate supplement safety and appropriateness
- Make their own informed decisions about supplement purchases and usage
- Assume full responsibility for any adverse effects or interactions
7. Third-Party Agreements & Links
7.1 External Websites & Services
The Geviti platform may contain hyperlinks or references to external websites, services, or third-party content provided by entities such as Get Cells, pharmacies, laboratories, or other external service providers. These third-party websites and services are independent entities, not under Geviti's control or supervision. Geviti explicitly disclaims any responsibility or liability for the content, accuracy, privacy practices, legality, reliability, or security of any third-party websites or services. Users access and engage with these external entities solely at their own risk and must independently evaluate and accept any terms, conditions, or policies set forth by these third parties.
7.2 Referral / Marketing Agreements
Geviti may enter into referral, marketing, or promotional agreements with third-party entities, such as the Stem Cell Platform or other wellness service providers. These agreements may include receiving flat marketing fees or other non-referral-based compensation from these third-party entities. Geviti's engagement in these agreements is strictly for marketing and promotional purposes and does not imply endorsement, clinical recommendation, warranty, or assumption of liability for third-party products or services. Users acknowledge that Geviti's agreements with third-party entities are not clinical in nature, and Geviti does not guarantee or assume responsibility for the quality, efficacy, compliance, or outcomes of any third-party products or services promoted or referenced through its platform.
8. Privacy & HIPAA Compliance
8.1 Privacy Policy
Geviti is committed to safeguarding User privacy and personal information. Our Privacy Policy details our practices regarding the collection, storage, use, protection, and disclosure of personal data gathered through the Geviti platform. Users are strongly encouraged to review the Privacy Policy carefully, as it forms an integral part of these Terms and Conditions.Geviti maintains information security practices, policies, procedures, and operations that meet SOC 2 standards for security to protect user data and ensure appropriate safeguards are in place for information handling and storage.
8.2 Protected Health Information (PHI)
The Provider serves as the "Covered Entity" under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), responsible for the protection and management of Protected Health Information (PHI) related to clinical services provided to Users. GF Management Services, LLC (MSO) and other third-party entities that handle or manage clinical or health-related information on behalf of the Provider act as "Business Associates" under HIPAA. Geviti generally collects and manages basic membership information, which typically does not constitute PHI and therefore does not require HIPAA compliance. However, if at any future point Geviti engages in storing, transmitting, or managing clinical data or medical information on behalf of the Provider or its patients, Geviti would be acting as a "Business Associate" under HIPAA and will adhere strictly to applicable HIPAA regulations.
8.3 Business Associate Agreements (BAA)
Business Associate Agreements are executed among the Provider, GF Management Services, LLC, and other relevant third-party entities responsible for handling PHI. These agreements clearly outline responsibilities, permitted uses, disclosures, safeguards, security measures, breach notification obligations, and other necessary provisions required under HIPAA for the proper handling and protection of PHI. Geviti maintains no such BAAs unless explicitly required.
8.4 Data Usage for AI/ML Development
User data may be encrypted and utilized to train artificial intelligence and machine learning models designed to improve health outcomes and enhance service delivery. All data used for these purposes will be de-identified and processed in accordance with applicable privacy laws and our Privacy Policy. Users consent to the use of their anonymized data for research, product development, and service improvement purposes, including but not limited to AI model training and health outcome research.
9. Intellectual Property
9.1 Ownership of Content
All content available on the Geviti platform—including but not limited to text, graphics, logos, images, videos, digital tools, educational materials, software applications, and other digital assets—constitutes the intellectual property of Geviti, Inc. or its licensors and partners, and is protected by applicable copyright, trademark, and intellectual property laws. Users acknowledge and agree that all trademarks, service marks, logos, designs, trade names, and proprietary content displayed on the Geviti platform remain the sole and exclusive property of Geviti or the respective rights holders.
Users are granted a limited, non-exclusive, revocable, and non-transferable license solely for personal, non-commercial use of the Geviti platform and its content. Except as explicitly permitted herein, Users may not copy, distribute, reproduce, transmit, modify, create derivative works from, display publicly, perform publicly, or otherwise exploit any content or intellectual property without prior written authorization from Geviti.
9.2 User-Generated Content
Geviti may permit Users to submit, post, upload, or share content such as comments, feedback, testimonials, photographs, or other materials (collectively, "User-Generated Content") through its platform. By submitting User-Generated Content, Users grant Geviti a perpetual, non-exclusive, worldwide, royalty-free license to use, display, reproduce, adapt, modify, distribute, and promote such content in connection with operating, marketing, or enhancing Geviti's services and platform.
Users represent and warrant that they hold all necessary rights, consents, and permissions required to submit User-Generated Content, and that such content does not infringe or violate the intellectual property rights, privacy rights, or other legal rights of third parties. Geviti reserves the right, but is not obligated, to monitor, review, or remove User-Generated Content at its discretion if it is deemed inappropriate, offensive, or infringing upon the rights of third parties or Geviti's policies.
10. Prohibited Uses
Users agree to access and use the Geviti platform exclusively for lawful, authorized, and acceptable purposes. Users expressly agree not to engage in any of the following prohibited uses:
10.1 Misrepresentation
Users shall not misrepresent their identity, qualifications, affiliations, or relationship with any entity or individual, including but not limited to falsely claiming medical qualifications or impersonating healthcare providers, other users, or representatives of Geviti, the Provider, or any other associated entity.
10.2 Unauthorized Access
Users must not attempt unauthorized access to the Geviti platform, accounts of other Users, computer systems, servers, databases, or networks connected to the platform. Prohibited activities include hacking, password mining, reverse-engineering, web scraping, or any actions intended to bypass, disable, damage, or compromise platform security measures.
10.3 Illegal or Fraudulent Activities
Users shall not use the Geviti platform or services in any manner that violates local, state, federal, or international laws or regulations. This includes, without limitation, any fraudulent activities, distribution of illegal materials, infringement of intellectual property rights, and engagement in deceptive, malicious, or exploitative conduct.
10.4 Prohibited Conduct
You commit to using Geviti's Platform and Services for lawful purposes only and in a manner that does not infringe on the rights of, restrict, or inhibit anyone else's use and enjoyment of Geviti. Prohibited activities include harassing or causing distress or inconvenience to any other user or provider, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within Geviti.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Geviti service or products, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
Geviti reserves the right to immediately terminate access to the platform and services, without notice, for any User found to be engaging in prohibited uses, and may pursue legal remedies where applicable. We reserve the right to refuse service to anyone for any reason at any time.
11. Disclaimers & Limitation of Liability
11.1 "As Is" Provision
The Geviti platform, services, content, and materials are provided on an "as is" and "as available" basis without any warranties or representations of any kind, either expressed or implied. Geviti disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or completeness of content.
Geviti does not guarantee uninterrupted, error-free, secure, or virus-free access to the platform and expressly disclaims any liability for interruptions, delays, errors, or technical malfunctions that may arise from the use of the platform.
11.2 No Guarantee of Outcomes
Geviti explicitly makes no representations, warranties, or guarantees regarding the outcomes, effectiveness, accuracy, safety, or results of any wellness-related content, services, advice, or recommended therapies provided on its platform, including but not limited to wellness coaching, supplement recommendations, or any third-party services (e.g., stem cell therapies or diagnostic tests). Users acknowledge and accept that individual outcomes may vary significantly and are influenced by various factors beyond Geviti's control.
11.3 Limitations on Damages
To the maximum extent permitted by applicable law, Geviti, its affiliates, directors, employees, agents, or licensors shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including but not limited to loss of profits, data, goodwill, use, or other intangible losses, arising out of or relating to the use or inability to use the Geviti platform or services, even if Geviti has been advised of the possibility of such damages.
In no event shall Geviti's total liability to a User for all damages, losses, or claims exceed the amount paid by the User for Geviti's services during the immediately preceding twelve (12) month period.
11.4 Health Coaching Disclaimer and Potential Adverse Effects
Users acknowledge and agree that Geviti Inc.'s health coaches are not medical professionals, physicians, or licensed healthcare providers. All information, recommendations, and guidance provided by Geviti Inc. health coaches is for educational and wellness purposes only and should not be considered medical advice. Users are solely responsible for consulting with and obtaining approval from licensed medical providers before implementing any recommendations or guidance provided by Geviti Inc. health coaches.
Users acknowledge that wellness services, supplements, treatments, or other products and services accessed through the Platform may have potential side effects or adverse reactions. Geviti disclaims all liability for any adverse effects, side effects, allergic reactions, or negative outcomes that may result from the use of any products, services, or recommendations accessed through or facilitated by the Platform. Users assume full responsibility for monitoring their own health and seeking immediate medical attention if they experience any adverse reactions or concerning symptoms.
Regarding supplements sold or recommended through the Platform, users acknowledge that:
- Geviti sells supplements for general wellness purposes and makes no medical claims about their efficacy for individual health conditions
- Health coach recommendations for supplements (whether sold by Geviti or third parties) are educational suggestions, not medical prescriptions
- Users are solely responsible for determining supplement appropriateness for their individual health needs through consultation with licensed healthcare providers
- Geviti disclaims liability for adverse reactions, drug interactions, or negative health outcomes from supplement use, regardless of whether supplements were purchased from Geviti or recommended by health coaches
11.5 Care Plan and Health Coaching Liability Disclaimer
Geviti specifically disclaims all liability for any outcomes, results, or consequences arising from users following care plan recommendations provided by Geviti Inc. health coaches. Users acknowledge and agree that they follow all care plans, wellness protocols, and health coaching guidance entirely at their own risk. Geviti shall not be liable for any health deterioration, adverse effects, or negative outcomes that may occur while users are following non-medical wellness guidance, care plans, or recommendations provided through the Platform.
12. Indemnification
12.1 User Responsibility
Users agree to indemnify, defend, and hold harmless Geviti, Inc., its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or demands, including reasonable attorneys' fees and court costs, arising from or related to:
- Your use or misuse of the Geviti platform or any associated services.
- Your violation of these Terms and Conditions or any applicable law or regulation.
- Your infringement upon the intellectual property rights, privacy rights, or other rights of any third party.
- Any user-generated content that you submit, post, or otherwise provide through the Geviti platform.
- Any claims arising from your purchase or use of supplements sold through the Platform or recommended by health coaches, including but not limited to adverse reactions, product defects, or failure to achieve desired results.
12.2 Defense & Cooperation
Users agree to fully cooperate with Geviti in defending any claim subject to indemnification under this section. Geviti reserves the right, at its own expense, to assume exclusive control and defense of any claim for which it is entitled to indemnification. Users agree not to settle or compromise any indemnifiable claims without prior written consent from Geviti.
13. Dispute Resolution
13.1 Governing Law
These Terms and Conditions, along with any disputes, claims, or actions arising from or related to them, shall be governed by and construed in accordance with the laws of the state in which Geviti primarily conducts business, without regard to conflict-of-law provisions.
13.2 Arbitration / Mediation Clause
Any dispute, controversy, or claim arising out of or related to these Terms and Conditions or your use of the Geviti platform or services shall first be subject to good-faith negotiation between the parties involved. If a resolution cannot be reached through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration administered by a reputable arbitration service, mutually agreed upon by the parties, in accordance with its arbitration rules then in effect. The arbitration shall take place in the jurisdiction where Geviti primarily conducts its business, unless otherwise mutually agreed by the parties.
The arbitration decision shall be binding and enforceable in a court of competent jurisdiction. Each party shall bear its own arbitration costs unless otherwise decided by the arbitrator. The parties explicitly waive any rights to trial by jury or participation in class-action litigation or class-wide arbitration with respect to any disputes covered by this arbitration provision. Users expressly waive any right to participate as a plaintiff or class member in any purported class action, collective action, or representative proceeding.
14. Termination
14.1 Grounds for Termination
Geviti reserves the right to terminate or suspend User access to the platform and services immediately, without prior notice, for the following reasons:
- Non-payment or failure to maintain valid billing information.
- Violation of these Terms and Conditions or other policies of Geviti.
- Fraudulent activities or any illegal or unauthorized use of the platform.
- Any conduct that, in Geviti's sole discretion, negatively impacts the platform, its Users, or its operations.
- At Geviti's sole discretion, without any specific reason or cause.
- Changes in regulatory requirements, licensing, or credentialing that necessitate removal of clinical services provided through Sanctifi or other third-party providers.
14.2 Effect of Termination on Membership
Upon termination, Users shall immediately lose access to all Geviti membership services and platform resources. Membership benefits, account information, and related materials may be deleted or withheld. Geviti will not issue refunds or credits for partially used membership periods or services discontinued due to termination.
14.3 Service Availability and Regulatory Compliance
Geviti may be required to remove, modify, or discontinue certain services, including clinical services provided through Sanctifi, at any time due to regulatory changes, licensing requirements, credentialing issues, or compliance obligations. Geviti is not liable for any inconvenience, disruption, or inability to access services resulting from such regulatory or compliance-driven changes. Geviti is not responsible for interruptions, delays, or failures of third-party services including but not limited to laboratory services, pharmacy services, or technology platforms that may affect service delivery.
15. Modifications to Terms
15.1 Right to Amend
Geviti reserves the sole right to modify, amend, or update these Terms and Conditions at any time. Any changes will become effective immediately upon posting on the platform or the date indicated within the updated Terms.
15.2 Notice of Changes
Geviti will notify Users of any material modifications to these Terms by posting a notice on the platform, sending an email communication, or providing updates through other reasonable means. Continued use of the Geviti platform after notice of changes constitutes acceptance of the revised Terms and Conditions.
16. Entire Agreement
16.1 Integration Clause
These Terms and Conditions, together with referenced documents (including but not limited to the Wellness Services Agreement, Supplemental Liability Waiver, Privacy Policy, and any additional posted policies), constitute the entire agreement between Users and Geviti regarding the use of the Geviti platform and services. When using medical services through Sanctifi Health, users are also bound by Sanctifi's Comprehensive Informed Consent and Notice of Privacy Practices and HIPAA Acknowledgement, which govern the separate medical services relationship.
16.2 Severability
If any provision of these Terms and Conditions is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

18. Financial Responsibility Notice
Users explicitly acknowledge their choice to obtain products and services from Geviti on a cash basis, explicitly outside the scope of federal or state healthcare programs such as Medicare or Medicaid. By agreeing to use the Service, you acknowledge and agree that:
- You are explicitly choosing to obtain products and services on a cash basis outside of any federal or state healthcare program and you have sole financial responsibility for all services or products provided to you by or through the Service.
- Neither you nor Geviti, the Labs, the Pharmacies, nor the Provider will submit a claim for reimbursement to any federal or state healthcare program for the costs of the services and products provided to you through the Service.
Users accept full financial responsibility for all costs associated with services or products provided through the platform.
19. Additional Provisions
19.1 Arbitration Notice
Unless explicitly opted out, Users agree that disputes arising from these Terms and Conditions or related services will be resolved by binding arbitration conducted by a reputable arbitration service mutually agreed upon by the parties. Users explicitly waive their rights to jury trials, court proceedings, and participation in class-action lawsuits or class-wide arbitration. Arbitration shall take place in the jurisdiction where Geviti primarily conducts business unless otherwise agreed upon by both parties. The arbitrator's decision shall be binding and enforceable by any court of competent jurisdiction.
19.2 Emergency Medical Disclaimer
In the event of a medical emergency, Users must immediately seek in-person emergency care or dial 911. Geviti's platform and services are strictly informational and not suitable or designed for handling emergency medical conditions. Geviti disclaims any responsibility or liability for Users' decisions to utilize the platform or services during emergencies.
19.3 Telehealth Services Consent and Risks
By using telehealth services provided through the Provider, Users explicitly consent to remote medical consultations. Users acknowledge and accept the inherent limitations and potential risks associated with telehealth, including but not limited to technical issues, incomplete medical information, or other challenges in virtual communication. Users agree that the Provider and its affiliated healthcare professionals will not be liable for any loss or injury arising from telehealth communications or services.
19.4 Special Provisions for California Residents
Residents of California may have additional consumer rights and data privacy protections under the California Consumer Privacy Act (CCPA). Users residing in California are encouraged to review applicable state-specific privacy provisions and are advised of their rights to request information, access to personal data, and data deletion.
19.5 Geographic Service Limitations
Service availability and state coverage may change based on regulatory requirements, licensing restrictions, or operational considerations. Users acknowledge that certain services may not be available in all locations and that Geviti may limit or restrict access to services based on user location. Geviti reserves the right to modify service availability by geographic region without prior notice.
20. Miscellaneous
This Agreement is personal to you. You will not assign or otherwise transfer any of your rights, or delegate, subcontract, or otherwise transfer any of your obligations or performance, under this Agreement. Any attempt to assign, delegate, or transfer in violation of this paragraph is void. Geviti may freely assign or otherwise transfer all or any of its rights, or delegate or otherwise transfer all or any of its obligations or performance, under this Agreement. This Agreement is binding upon and inures to the benefit of the parties and their respective permitted successors and assigns.
Geviti shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or technological failures.
If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect. This Agreement contains the entire agreement between you and Geviti and supersedes any oral or written statements made by or to you.
